Dwight B. Williams acts as “of counsel” to Shumway Van & Hansen. Mr. Williams practices in the areas of securities, corporate finance, international transactions, estate planning and asset protection law. General Counsel to PilePro group of companies, Austin, Texas and Braunschweig, Germany. Pile Pro is the world’s leading producer of proprietary connector technology for steel sheet piling and steel pipe walls.
2003 – January 2012: Member, Executive Committee, First Law International, Sprl., Brussels, Belgium. Representation of U.S., European and Asian corporations and individuals in connection with international transactions, mergers and acquisitions and foreign compliance issues.
2002 – 2008: Of Counsel to Mackey Price Thompson & Ostler, Salt Lake City, Utah. Corporate finance and international business law. Representing privately owned businesses and their principals in long range planning including asset protection, estate and generation-skipping tax planning, business succession, family limited partnerships private foundations, charitable remainder trusts, ESOPs, etc.
1999 – June 2006: Member, Board of Directors of TerraTek, Inc., now a Schlumberger company (also seller’s counsel in acquisition of TerraTek by Schlumberger)
1992 – 2001: Shareholder, Mackey Price & Williams, Salt Lake City, Utah. Representing technology based corporations with respect to corporate finance and transnational commercial transactions, including international joint ventures, financing, mergers and acquisitions, teclmology licenses and product distribution.
1991 – 1992: Tanner, Bowen & Williams, Salt Lake City, Utah (Transitional office sharing arrangement)
1988 – 1991: Woodbury, Jensen, Kesler & Swinton, Salt Lake City. Utah (Shareholder and Chairman, International Department, 1988 – February, 1991; of counsel March – June 1991). Practice concentrated in commercialization and internationalization of emerging technologies, international trade and investment and representing commercial lenders. General counsel for multinational electric cogeneration developer in Argentina.
1985 – 1988: Mission President for the Church of Jesus Christ of Latter-day Saints in Catania (July 1985 through June 1986) and Rome, Italy (July 1986- June 1988). Official agent of church vis-a-vis Italian government 1986-88.
1982 – 1985: Shareholder, Kirton, McConkie & Bushnell, Salt Lake City, Utah; International joint ventures and distribution networks for U.S. and European companies based on biotechnology, computer software and food processing technology. General Counsel to NPI (formerly known as Native Plants, Inc., and later as AgriDyne Technologies, Inc.), a major international agrigenetics corporation. Negotiated and documented several start-up and mezzanine private funding for many other clients.
1975 – 1981: Private Law Practice. Salt Lake City. Utah. Practice concentrated in international trade and finance, real estate finance and development, estate planning and ERISA matters. Founder and principal of a title insurance agency.
1974 – 1979: Adjunct Professor of Business Law. Management Department, University of Utah.
1972 – 1974: Associate. Van Cott Bagley, Cornwall & McCarthy, Salt Lake City, Utah. Primarily handled banking, corporate finance and trusts and estates maters. Established bank holding company and several branches for major regional bank.
